1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Customer," or "you") and Allasso ("Allasso," "we," "us," or "our"), a company incorporated in Zurich, Switzerland, governing your access to and use of the Allasso options analytics platform and associated services, including the website at aIIasso.com, the web application, the API, and any related documentation (collectively, the "Service").

By registering for an account, accessing the platform, or using any part of the Service, you represent that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms, and "you" refers to both you and that entity.

If you do not accept these Terms, you may not access or use the Service. We reserve the right to modify these Terms at any time. We will provide notice of material changes by email to the address on your account or by posting a notice on the Allasso website. Your continued use of the Service following notice of changes constitutes acceptance of the revised Terms.

These Terms were last updated on January 1, 2025 and are effective from that date for all existing and new users.

2. Description of Service

Allasso provides a software-as-a-service (SaaS) options analytics platform designed for professional traders and risk managers working with commodity derivatives. The Service includes:

Options pricing engine: Real-time calculation of option fair values, implied volatilities, and option Greeks (delta, gamma, vega, theta, rho) for exchange-traded and OTC commodity options across energy, metals, and agricultural markets, using multiple pricing models including Black-76, Bachelier, and Allasso's proprietary seasonal surface model.

Volatility surface tools: Construction, visualization, and management of implied volatility surfaces across strikes and tenors, including arbitrage-free calibration and sparse-data interpolation methods for illiquid commodity markets.

Portfolio risk analytics: Aggregation of Greeks and risk metrics across multi-leg positions and portfolios, including cross-commodity correlation analysis, spread option pricing, and scenario stress testing.

API access: Machine-readable API endpoints allowing programmatic access to pricing, Greeks, and surface data for integration with third-party trading and risk systems (available on Growth and Enterprise plans).

Data connectivity: Connectivity to exchange market data from CME, ICE, and LME (available on Growth and Enterprise plans, subject to applicable data licensing agreements).

The Service is intended for use by professional financial market participants. It is not intended for use by retail investors or for any purpose that constitutes regulated financial advice. Allasso does not provide investment advice, trading recommendations, or portfolio management services.

3. Account Registration

To access the Allasso platform, you must create an account by providing accurate, current, and complete information as prompted during registration. You agree to maintain and promptly update your account information to keep it accurate, current, and complete.

You are responsible for maintaining the confidentiality of your account credentials, including your password. You agree to notify us immediately at info@aIIasso.com if you suspect unauthorized access to or use of your account. We will not be liable for any loss or damage arising from unauthorized use of your account where such use results from your failure to take reasonable security precautions.

One account corresponds to one user or, in the case of team plans, to an agreed number of named users. You may not share account credentials with other individuals or allow multiple concurrent sessions under a single user account unless you have purchased a plan that expressly permits this. Violation of this restriction may result in account suspension.

You must be at least 18 years of age to create an account. The Service is intended for professional users employed by or acting on behalf of financial institutions, trading companies, commodity producers, or similar entities. We reserve the right to reject account applications that do not meet our eligibility criteria.

4. Subscription Plans and Payment

Access to the Allasso platform requires a paid subscription. Subscription plans are available as described on the Allasso pricing page at aIIasso.com/price.html. All prices are stated in US dollars (USD) and are exclusive of applicable taxes unless otherwise stated.

4.1 Subscription Terms

Subscriptions are billed in advance on a monthly or annual basis depending on the plan you select. Monthly subscriptions renew automatically at the beginning of each calendar month. Annual subscriptions renew automatically at the end of each 12-month subscription period. You authorize us to charge your payment method on file for each renewal period.

Annual subscriptions are offered at a discount to monthly billing. The annual subscription price is fixed for the subscription year in which you purchase. Price changes for annual renewals will be communicated at least 60 days before your renewal date.

4.2 Free Trial

We may offer a free trial period to new customers. The duration and terms of any free trial will be specified at the time of registration. At the end of the free trial, your subscription will automatically convert to a paid plan unless you cancel before the trial period ends. No credit card is required during the trial period, but you will be prompted to add payment details before the trial expires if you wish to continue using the Service.

4.3 Payment Processing

Payments are processed by Stripe, Inc., our third-party payment processor. By providing payment information, you authorize Allasso to instruct Stripe to charge your designated payment method. Stripe's privacy policy and terms govern their processing of your payment data. We retain billing records but do not store full payment card numbers on our infrastructure.

4.4 Taxes

You are responsible for all applicable taxes, duties, levies, and charges imposed by taxing authorities on your subscription to the Service. Where Allasso is legally required to collect taxes (such as Swiss VAT or EU VAT where applicable), those taxes will be added to your invoice. If you are a business customer in the EU registered for VAT, you may provide your VAT registration number to benefit from reverse charge treatment.

4.5 Late Payment

If payment is not received when due, we may suspend access to the Service after providing notice. Access will be restored upon receipt of outstanding amounts. We reserve the right to terminate your account if payment remains outstanding for 30 days following the due date, after providing a final notice.

5. Cancellation and Refunds

You may cancel your subscription at any time by accessing your account settings or by contacting us at info@aIIasso.com. Cancellation takes effect at the end of the current billing period. You will retain access to the Service through the end of the period for which you have paid.

We do not provide refunds for partial months or years of service except where required by applicable consumer protection law. If you cancel an annual subscription, you will continue to have access until the end of your annual subscription year but will not receive a refund for the remaining months.

If we terminate your account for cause (violation of these Terms, fraudulent activity, or illegal use), no refund will be provided. We reserve the right to provide refunds at our discretion for exceptional circumstances where we determine that a refund is appropriate.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

In any manner that violates any applicable law or regulation, including without limitation securities law, market manipulation prohibitions, financial services regulations, export control laws, and data protection law.

To engage in, facilitate, or attempt any market manipulation, front-running, wash trading, or other trading practice that is prohibited under applicable financial market regulation.

To develop, train, or improve any competing product or service by accessing or extracting data from the Allasso platform through automated means, including but not limited to web scraping, data harvesting, or systematic API calls designed to extract our pricing models, surface data, or analytical outputs.

To attempt to gain unauthorized access to any portion of the Service, to circumvent any security measures, or to interfere with the normal operation of the Service.

To transmit any virus, malware, or other code designed to interrupt, destroy, or limit the functionality of the Service or related infrastructure.

To share, resell, or sublicense access to the Service to any third party without our prior written consent.

Violation of these acceptable use provisions may result in immediate suspension or termination of your account, and we reserve the right to report illegal activity to the relevant authorities.

7. Intellectual Property

The Allasso platform, including all software, algorithms, pricing models, documentation, user interface designs, trademarks, and other proprietary content, is the intellectual property of Allasso and its licensors. These Terms do not grant you any ownership rights in the Service or any component thereof.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during the term of your subscription, solely for your internal business purposes in accordance with these Terms. This license does not include the right to copy, modify, distribute, sell, or create derivative works of the Service or any part of it.

You retain ownership of all data, configurations, and content that you input into the Allasso platform ("Customer Data"). You grant Allasso a limited license to store, process, and transmit Customer Data solely for the purpose of providing the Service to you. This license terminates upon account closure, subject to our data retention obligations.

Any feedback, suggestions, or ideas you provide about the Service may be used by Allasso without restriction or compensation. This provision does not affect your ownership of specific data or configurations you have submitted.

8. Confidentiality

Each party acknowledges that it may receive confidential information from the other in connection with these Terms. "Confidential Information" means information designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure.

Each party agrees to protect the other's Confidential Information with at least the same degree of care it uses to protect its own confidential information (and not less than reasonable care), and to use it only for the purposes of these Terms. Allasso's pricing models, algorithms, and surface construction methods are Confidential Information of Allasso. Your trading positions, strategies, and Customer Data are your Confidential Information.

9. Disclaimers

No financial advice: The Allasso platform provides mathematical pricing tools and analytics for commodity derivatives. Nothing in the Service constitutes financial advice, investment advice, trading recommendations, or any other type of regulated financial service. All trading decisions are yours alone, and you are responsible for assessing the suitability of any trade for your specific situation, risk tolerance, regulatory obligations, and investment objectives.

Model limitations: Options pricing models are mathematical approximations that make simplifying assumptions about market behavior. No pricing model perfectly captures real market dynamics. You acknowledge that model outputs may diverge from actual market prices, particularly during periods of market stress, illiquidity, or unusual market conditions. Allasso's models have been carefully developed and tested, but we cannot guarantee that any model output will match market prices, satisfy regulatory model requirements, or produce profitable trading outcomes.

Data accuracy: Where the Service relies on market data from third-party sources, we make no representation about the accuracy, completeness, or timeliness of that data. Market data may be delayed, incomplete, or incorrect. You should verify critical pricing and risk data from multiple sources before making trading decisions.

"As is" service: The Service is provided "as is" and "as available." We make no warranties, express or implied, including without limitation any warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability. We do not warrant that the Service will be error-free or that defects will be corrected.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Allasso's total aggregate liability to you for all claims arising from or related to these Terms or the Service — whether in contract, tort (including negligence), or otherwise — shall not exceed the greater of (a) the total subscription fees paid by you to Allasso in the 12 months preceding the claim, or (b) $1,000 USD.

In no event shall Allasso be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation loss of profits, loss of trading gains, loss of data, trading losses, or any other commercial or economic loss, whether or not foreseeable and whether or not Allasso has been advised of the possibility of such damages.

These limitations apply even if any limited remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages. In such jurisdictions, our liability will be limited to the fullest extent permitted by applicable law.

You acknowledge that Allasso is a technology tool provider, not a trading counterparty or financial intermediary. Allasso has no liability for any loss resulting from your trading activity, including any loss resulting from reliance on pricing outputs, Greeks, or risk metrics generated by the platform.

11. Indemnification

You agree to indemnify, defend, and hold harmless Allasso and its officers, directors, employees, contractors, and agents from and against any claim, demand, action, loss, liability, damage, cost, or expense (including reasonable legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law or regulation; (c) your Customer Data; or (d) any trading activity you conduct using pricing or analytics from the Allasso platform.

12. Term and Termination

These Terms remain in effect for the duration of your subscription to the Service and until terminated by either party. You may terminate your subscription at any time by cancelling through your account settings or by contacting info@aIIasso.com.

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe: (a) you have violated these Terms; (b) your use of the Service poses a security risk to the Service or other users; (c) your account has been compromised; or (d) your use of the Service is fraudulent or illegal.

Upon termination, your license to use the Service ends immediately. You may request a copy of your Customer Data within 30 days of termination. After this period, we will delete or anonymize your data in accordance with our data retention schedule. Termination does not relieve you of any payment obligations that arose before termination.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of Switzerland, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any dispute arising from or in connection with these Terms that cannot be resolved through good faith negotiation shall be submitted to the exclusive jurisdiction of the courts of Zurich, Switzerland. If you are a consumer (rather than a business customer), this choice of jurisdiction does not deprive you of the protection of mandatory provisions of the law of your country of residence.

Before initiating formal legal proceedings, the parties agree to attempt to resolve any dispute through direct negotiation in good faith. Either party may initiate this process by written notice to the other. The parties shall attempt resolution within 30 days of such notice before proceeding to formal dispute resolution.

14. General Provisions

Entire agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Allasso regarding the Service and supersede all prior agreements, representations, and understandings relating to the Service.

Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force.

Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that provision in the future.

Assignment: You may not assign or transfer these Terms or your account without our prior written consent. We may assign our rights and obligations under these Terms to a successor in connection with a merger, acquisition, or sale of substantially all of our assets, with notice to you.

Notices: Notices to you will be sent to the email address on your account. Notices to Allasso should be sent to info@aIIasso.com. Notices are deemed effective on the day sent.
